Affiliate Program Terms and Conditions
StockingShopping.com Affiliate Agreement
Please read the agreement document below before registering.
You need to read through these terms and conditions with care. We may
occasionally change these terms and conditions in which case we will notify you
by email.
StockingShopping.com agrees to pay you, as our affiliate, a commission based on
all sales generated via approved hyperlinks containing your Affiliate Linking
Code in the exact form as set out in our affiliate administration area.
Affiliate Obligations and Understandings
You acknowledge that each party will only have entered into this Agreement once
your application is accepted by StockingShopping.com. You also agree that:
You will not modify any StockingShopping.com logos, graphics, images or text in
any way whatsoever. All promotional assets are the exclusive property of
StockingShopping.com and you are using them under license through this
agreement. Only the promotional tools that we provide can be used unless written
permission is granted otherwise.
You will not make any use of the images available on our website or through our
affiliate program for any purpose other than to link to StockingShopping.com.
You will not disclose your Affiliate username or password to any third party.
Your web site may never be used for any purpose or activity of an illegal,
fraudulent or defamatory nature. Other sites that are prohibited from
participating in the StockingShopping.com affiliate program include those of an
illegal extreme pornographic nature. We reserve the right to reject any website,
regardless of reason, from acceptance.
You will never utilize any form of spam or unsolicited email campaign to promote
StockingShopping.com. Only links generated from accepted websites are acceptable
for website promotion. Any breach of this agreement can result in your immediate
termination and forfeit of any generated commissions. To complement our
anti-spam policy, email links to products are not allowed.
The term of this Agreement will begin upon our acceptance of your Affiliate
application and will end when terminated by either party. Either you or we may
terminate this Agreement at any time, with or without cause, by giving the other
party written notice of termination. You are only eligible to earn referral fees
on sales occurring during the term.
UPON SUBMISSION, YOU ACKNOWLEDGE THAT YOU HAVE READ THIS AGREEMENT IN ITS
ENTIRETY AND AGREE TO ALL ITS TERMS AND CONDITIONS.
StockingShopping.com Obligations and Understandings
Upon the acceptance of your application, StockingShopping.com will issue an
Affiliate ID along with instructions on how to link to StockingShopping.com in
order to ensure the accurate tracking of commissions.
StockingShopping.com will, to the best of its ability, ensure that the
affiliates tracking mechanism correctly identifies those purchases made by users
who have arrived at our website via a hyperlink containing the Affiliate ID.
StockingShopping.com will provide you with access to a management page from
which you can view the current status of your account and obtain promotional
tips and tools.
StockingShopping.com will provide you with a wide range of graphics, banners and
text archives that may be used solely for the purpose of creating links to
StockingShopping.com.
Personal Sales Commissions
StockingShopping.com will pay you a 15% commission based on the amount it
actually receives from sales of products to consumers, less any taxes or
shipping charges, who accessed the StockingShopping.com web site via any
approved hyperlink on your web site.
Payments and Commissions
Commissions will only be paid on the value of the product (as shown as "Our Sale
Price" on the StockingShopping.com web site). No commission will be paid on any
additional charges incurred by StockingShopping.com or the consumer such as, but
not limited to, taxes or shipping. No commissions will be paid on goods returned
at a cost to StockingShopping.com or through fraudulent or banned activities.
On or before the 1st of every month, StockingShopping.com will issue a
commission statement and payment to affiliates based on their commission earned
over the previous one-month period (for example, May volume will be paid on or
before June 1st).
The preferred payment method is by check, but we can also pay via PayPal if
requested. Any commission amount under $50.00 for a calendar period will be
carried over to the next pay period. This carry-over is indefinite and will
continue until $50.00 is reached.
StockingShopping.com may refuse to pay any amount that appears to be generated
through a fraudulent transaction either in the invoice period or from any
preceding invoice period.
Where a customer is refunded the purchase price of the Merchandise or a cost is
charged back to StockingShopping.com, we reserve the right to deduct the amount
of commission that had already been paid to the Affiliate for this sale from the
next commission period.
Termination
StockingShopping.com may terminate this Agreement immediately and retain any
generated commissions under the breach if:
The Affiliate's web site comprises or is used for any purpose or activity of an
illegal, fraudulent or defamatory nature.
The Affiliate participates in an unsolicited email or spam campaign to promote
StockingShopping.com. Only links from approved websites are allowed. This is a
strict policy.
The Affiliate breaches any term of this Agreement which is not capable of being
remedied or the Affiliate fails to rectify a breach of this Agreement which is
capable of being remedied within 7 days of StockingShopping.com serving notice
via email requiring them to rectify the breach.
Miscellaneous
We will not be liable for indirect, special or consequential damages, or any
loss of revenue, profits or data, arising in connection with this Agreement or
the Program, even if we have been advised of the possibility of such damages.
Further, our aggregate liability arising with respect to this Agreement and the
Program will not exceed the total referral fees paid or payable to you under to
this Agreement.
This Agreement will be governed by the laws of the United States and the State
of Utah, without reference to rules governing choice of laws. Any action
relating to this Agreement must be brought in the federal or state courts
located in Melbourne, Florida and you irrevocably consent to the jurisdiction of
such courts. You may not assign this Agreement, by operation of law or
otherwise, without our prior written consent. Subject to that restriction, this
Agreement will be binding on, inure to the benefit of and be enforceable against
the parties and their respective successors and assigns.
Our failure to enforce your strict performance of any provision of this
Agreement will not constitute a waiver of our right to subsequently enforce such
provision or any other provision of this Agreement.
